Terms and conditions of sale

The following conditions apply to every sale, contract, and subcontract works to be executed by the Company.

1. FOR THE PURPOSES OF THESE CONDITIONS:

1.1 The Company is any of the Connections Group of Companies, i.e. Connections Interiors Limited, Fitting Connections Limited, Inta Connections Limited and KBB Connections Limited.

1.2 The Purchaser is the customer, client and the customer's/client's employees.

2. TENDER VALIDITY: Unless previously withdrawn, the tender (which expression shall include all quotations and other offers made) is open for acceptance for the period quoted or, if not accepted within such period or when no period is so stated, then within 30 days. Any representations or warranties made or given by anyone on behalf of the Company prior to contract and not contained in the tender are expressly excluded. All tenders are subject to the materials specified being available.

The Company will only accept orders from the Purchaser when written conformation is received and any monetary deposits paid where applicable.

3. PRICES: All prices are strictly net, ex-works and are exclusive of VAT (unless notified to the contrary) and valid for 3 months.

The Company shall reserve the right at any time to revise quoted prices to take account of increases in costs including (without limitation) any foreign exchange fluctuation, currency regulation, alteration in duties, increasing costs of labour, materials or other costs of manufacture, any change in delivery dates, quantities or specifications with goods ordered by the Purchaser, or any delay caused by any instructions from the Purchaser or failure by the Purchaser to give the Company adequate information or instructions.

4. DELIVERY COSTS: Delivery costs to roadside, anywhere within mainland England for ex-works order values.

a). under £1000.00 charged at £79.00
b). above £1000.00 charged at +7.5%
c). delivery, installation and clearing away packaging charged at +15%

5. DELIVERY: Times quoted for delivery are to date from receipt by the Company of a written order to proceed and of all necessary information, drawings, approvals, and/or payments to enable the supply and works to be put in hand. All such times are to be treated as estimates only not involving the Company in any liability for failure to deliver within such times unless the purchase order has stipulated that time shall be of the essence of the contract, and this has been accepted by the Company in writing.

The Company will not be liable for any loss, liability, damage, or consequential costs sustained by reason of acts of God, war, riots, strikes, lockouts, governmental control or regulations, abnormal weather conditions, accidents, breakdowns or any other circumstances beyond the control of the Company.

6. DAMAGE OR LOSS IN TRANSIT: The Company can accept no liability for defects or goods damaged in transit not signed for as such on delivery, nor for defects, damage, or undelivered items not reported to the Company in writing within 3 days of delivery. Liability shall be limited to and shall not exceed the invoice price of the defective item(s).

7. STORAGE: The Purchaser shall be responsible for all redelivery, storage and all other costs incurred by the Company as a result of failure to give sufficient delivery instructions or to accept delivery when tendered. Payment for the goods will become due as if the goods had been delivered when ready.

8. TITLE: The goods will remain the sole absolute property of the Company as legal and equitable owner until the whole of the invoice price has been paid. The Company reserves the immediate right to repossession of any goods to which it has retained title.

9. INSTALLATION: When the contract/goods includes installation by the company the following provisions apply:

Unless otherwise agreed in writing by the Company, the prices quoted will assume that:

9.1 The installation is to be carried out during standard weekday working hours (i.e. Monday to Friday 800 to 1600 hours) in one single/ uninterrupted phase, at ground level with adequate unobstructed access for all materials.

9.2 Adequate lifts or hoists are provided by the Purchaser to move all materials to the place of installation free of charge to the Company.

9.3 The site/premises is available at the times necessary to complete the installation.

9.4 Should additional labour be required because any of the above conditions not being met, the Company reserves the right to charge the Purchaser for the excess at the Company's current rates (including travel and overtime rates, if appropriate).

9.5 It is the responsibility of the Purchaser to provide a clear and safe working environment for the Company's employees and/or subcontractors to carry out the installation.

9.6 The Purchaser shall provide adequate lighting, heating and power and the protection of all interior elements.

10. PAYMENT: The Company's standard payment terms are 50% payment (inc. VAT) with written order and the balance payable prior to delivery or on day of delivery to the transport company.

Final payment will be due on delivery of the balance of materials to the Purchaser's specified destination.

Discounts and retention's may not be deducted unless agreed by the Company in writing.

The contract may be terminated by the Company where the Purchaser fails to pay promptly all sums due. In the event that payment has not been made by the due date on the Company's invoice, the Company shall be entitled to recover from the Purchaser interest on any outstanding balance at the rate of twelve percent above the current base rate set by the Bank of England. Further more the Company may remove all stock of materials, equipment and goods it retains title on.

11. QUALITY: At its own cost the Company will remedy any defects arising within 6 months, or as specifically agreed, from the completion of our contract if written notice is served within that period. This guarantee shall apply only in the event of faulty materials or workmanship caused by the Company.

12. COPYRIGHT: Copyright in all drawings, designs and other artistic works and copyright in all brochures, catalogues and other literary works shall vest in the Company.

13. LAW: The contract including these terms and conditions shall be governed by and construed in accordance with English Law and both parties hereby agree to submit to the jurisdiction of the courts of England.
